Terms of Service

1. Agreement to Terms & Scope of Service

These Terms of Service govern all commercial transactions, engineering design consultations, equipment manufacturing, installation, and Annual Maintenance Contracts (AMC) provided by Swivel Industries (established 1999).

By engaging our engineering team, issuing a Purchase Order (PO), or accepting an official technical proposal, the client agrees to be bound by these standard terms unless explicitly modified by a written, signed agreement between both corporate entities.

  • Scope of Supply: All EOT cranes, Gantry cranes, Jib cranes, hoists, and lifting accessories are engineered strictly according to the technical parameters agreed upon in the signed General Arrangement (GA) drawings and purchase contract.
  • Site Readiness: The client is responsible for ensuring that factory gantry girders, rail alignment, and power supply (3-phase 415V AC, 50Hz) meet necessary structural requirements prior to crane erection.

2. Intellectual Property & Engineering Design Rights

All mechanical, structural, and electrical designs, CAD models, General Arrangement (GA) drawings, stress calculation reports, and proprietary hoist schematics generated by Swivel Industries remain our exclusive intellectual property.

Engineering drawings and technical proposals supplied during the quotation or project phase are licensed solely for the operation, inspection, and maintenance of the purchased equipment at the designated plant site.

  • Prohibition of Unauthorized Duplication: Clients shall not reproduce, reverse-engineer, or distribute Swivel Industries technical blueprints to third-party manufacturers without prior written consent.
  • Design Accuracy: GA drawings must be signed off and approved by the client's structural engineering department prior to the commencement of steel fabrication.

3. Quotations, Pricing & Payment Terms

Engineering quotations issued by Swivel Industries are valid for thirty (30) days from the date of issue, unless stated otherwise in the commercial proposal. Due to fluctuations in industrial structural steel and copper prices, quotations beyond this period are subject to confirmation.

  • Taxes & Duties: All quoted prices are exclusive of statutory GST, freight, transit insurance, and local municipal levies unless explicitly itemized in the commercial contract.
  • Progressive Payment Schedule: Standard manufacturing contracts follow a milestone-based payment structure: advance payment upon order confirmation, progress payments against steel fabrication inspection, and final balance prior to dispatch or commissioning.
  • Title & Risk: Title to the equipment remains with Swivel Industries until all invoices have been settled in full.

4. Warranty & Operational Safety Standards

Swivel Industries manufactures heavy-duty lifting equipment in stringent accordance with Indian Standards (IS 3177 / IS 807 / IS 3938). We warrant that all cranes and hoist systems are free from defects in material and workmanship under normal industrial use.

  • 12-Month Mechanical Warranty: Standard equipment carries a warranty period of twelve (12) months from the date of successful commissioning or eighteen (18) months from the date of dispatch, whichever occurs earlier.
  • Exclusions: Warranty does not cover normal wear-and-tear items (wire ropes, brake liners, contactors), damage caused by overloading beyond rated Safe Working Load (SWL), improper electrical supply, or unauthorized modifications.
  • Mandatory Operator Training: Equipment must be operated exclusively by trained and certified industrial crane operators in compliance with factory safety regulations.

5. Limitation of Liability & Governing Law

In no event shall Swivel Industries be liable for indirect, special, incidental, or consequential damages, including but not limited to factory downtime, loss of production, loss of profits, or labor costs arising from equipment stoppage.

Our cumulative liability under any contract, warranty, or statutory claim shall be strictly capped at the purchase price of the specific crane or AMC service contract giving rise to the claim.

  • Governing Jurisdiction: All commercial agreements, disputes, and warranty claims shall be governed by the laws of India and subject to the exclusive jurisdiction of the competent courts in Kalyan / Mumbai, Maharashtra.
  • Force Majeure: Neither party shall be held liable for delivery delays resulting from acts of God, civil unrest, labor strikes, statutory embargoes, or severe raw material supply chain disruptions.
